Agreement to Terms

By accessing or using BKVInvoice.com (the "Service") operated by BKV Productions LLC, a Colorado limited liability company ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

BKVInvoice is a cloud-based invoice management service that allows businesses to:

  • Create, manage, and send professional invoices
  • Track payments and manage client relationships
  • Generate financial reports and analytics
  • Use AI-powered features to enhance content
  • Store and manage business documents securely

Account Registration and Security

Account Creation

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the security of your account
  • You must be at least 18 years old to create an account
  • Company accounts may have multiple users with different permission levels

Account Security

  • Multi-factor authentication is required for all accounts
  • You are responsible for all activities under your account
  • Notify us immediately of any unauthorized use
  • We reserve the right to suspend accounts for security concerns

User Roles and Permissions

  • Admin Users: Full control over company account, can invite/remove users
  • Standard Users: Access to company data with standard permissions
  • Account owner (original signup) retains admin privileges

Acceptable Use

Permitted Uses

  • Creating and managing invoices for legitimate business purposes
  • Storing business documents and financial records
  • Using AI features to enhance content professionally
  • Exporting data for accounting and business purposes

Prohibited Uses

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Send spam, fraudulent, or misleading invoices
  • Attempt to gain unauthorized access to our systems
  • Interfere with the Service's operation
  • Store illegal or harmful content
  • Use the Service for personal, non-business purposes

Data Accuracy

  • You are responsible for the accuracy of all data entered
  • We are not responsible for errors in invoice calculations or content
  • Verify all information before sending invoices to clients

Subscription and Payment

Subscription Tiers

  • Free Trial: 30 days or 15 invoices (whichever comes first)
  • Startup: $5/month for 15 invoices (3 emails per invoice)
  • Established: $20/month for 500 invoices (10 emails per invoice)
  • Professional: $50/month for 2,000 invoices (unlimited emails)
  • Enterprise: $100/month for 10,000 invoices (unlimited emails)

Payment Terms

  • All fees are billed in advance on a monthly basis
  • Payment is processed securely through Stripe, Inc.
  • Sales tax calculated and collected by Stripe where applicable
  • Failed payments trigger a 30-day grace period with email warnings
  • After 30 days of non-payment, invoice creation and sending will be restricted
  • Account data remains accessible for download during payment issues
  • When annual billing becomes available, prorated refunds will be offered for unused months
  • Service credits issued for outages exceeding 4 hours (additional invoices/emails added to your limit)

Usage Limits

  • Invoice limits are per calendar month
  • Unused invoices do not carry over to the next month
  • Exceeding limits may result in additional charges or service suspension

Subscription Changes

  • You may upgrade or downgrade your plan at any time
  • Changes take effect at the next billing cycle
  • When downgrading, your data is preserved but subject to new tier limits
  • We reserve the right to change pricing with 30-60 days advance notice
  • Price changes apply to all customers (no grandfathering)
  • Continued use after price change notification constitutes acceptance

Data and Privacy

Your Data

  • You retain ownership of all data you upload
  • We process your data as described in our Privacy Policy
  • You are responsible for ensuring you have rights to use uploaded content

Data Storage

  • Files are stored securely in Cloudflare R2
  • Maximum file size: 500MB per file
  • Maximum total storage: 100GB per account
  • Retention period: Up to 7 years (configurable)
  • Secure download links expire after 30 days
  • API usage and bandwidth subject to automatic rate limiting for security

Data Export and Deletion

  • You can export your data in multiple formats at any time
  • Account deletion is available through settings
  • Upon deletion request, you have 30 days to export data and cancel deletion
  • After 30 days, all data is permanently deleted from our systems
  • Some data may be retained longer only as required for legal compliance

AI Features

AI Enhancement

  • AI features are optional and require your consent
  • Original content is preserved alongside AI-enhanced versions
  • AI processing is performed by OpenAI's API
  • You can opt out of AI features at any time

AI Limitations

  • AI-generated content should be reviewed before use
  • We are not responsible for AI-generated content accuracy
  • AI features may be subject to usage limits or availability

Service Availability and Support

Service Uptime

  • We strive for 99.9% uptime but do not guarantee specific availability
  • Scheduled maintenance will be announced in advance
  • Emergency maintenance may occur without notice

Support

  • Email support is available during business hours
  • Response times vary based on issue complexity
  • Premium support may be available for higher-tier plans

Service Changes

  • We may modify or discontinue features with notice
  • Material changes will be communicated 30 days in advance
  • Continued use constitutes acceptance of changes

Third-Party Services

Payment Processing and Stripe Connect

  • Stripe: Platform payment processing and subscription billing
  • Stripe Connect: Enables you to accept payments from your clients
  • You are responsible for:
    • Your Stripe account setup and compliance
    • Tax reporting for payments received
    • Handling fraud disputes with your clients
    • Reimbursing us for any chargebacks from your clients
  • We are not responsible for Stripe service availability or processing delays
  • Stripe handles all PCI compliance for payment card data

Other Integrated Services

  • Supabase: Database and authentication
  • AWS Lambda: PDF generation and automation
  • Cloudflare R2: File storage
  • OpenAI: AI enhancement features
  • SMTP Providers: Email delivery (as configured by you)

Third-Party Terms

  • Third-party services have their own terms of service
  • We are not responsible for third-party service issues
  • You must comply with third-party service terms

Intellectual Property

Our Rights

  • The Service and its original content are owned by BKVInvoice
  • Trademarks, service marks, and logos are our property
  • You may not use our intellectual property without permission

Your Rights

  • You retain ownership of your content
  • You grant us license to process and store your data
  • You may export your data at any time

Disclaimers and Limitations

Service Disclaimer

  • The Service is provided "as is" without warranties of any kind
  • We do not guarantee error-free or uninterrupted operation
  • We are not responsible for business decisions based on Service data
  • We are not liable for loss of profits or business opportunities

Limitation of Liability

  • Our total liability is limited to the amount you paid in the last 12 months
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Some jurisdictions do not allow liability limitations
  • These limitations apply even if we knew of the possibility of damages

Force Majeure

  • We are not liable for failures due to circumstances beyond our reasonable control
  • This includes natural disasters, pandemics, war, terrorism, labor disputes, or government actions

Indemnification

  • You agree to indemnify, defend, and hold harmless BKV Productions LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any third-party rights
    • Content you upload or transmit through the Service
    • Claims from your clients or third parties
    • Chargebacks or payment disputes from your clients
  • We will notify you promptly of any claims and cooperate in defense

Termination

Termination by You

  • You may cancel your subscription at any time
  • Account deletion is available through settings
  • No refunds for partial months

Termination by Us

  • We may terminate accounts for Terms violations
  • We may discontinue service with 30 days notice
  • We will provide data export options before termination

Effect of Termination

  • Access to the Service will cease immediately
  • Data will be deleted according to our retention policy
  • Outstanding payments remain due

Governing Law and Disputes

Governing Law

  • These Terms are governed by Colorado law, without regard to conflict of law principles
  • Any disputes will be resolved in Douglas County, Colorado courts

Dispute Resolution

  • We encourage informal resolution of disputes first
  • Mediation required before legal action (Douglas County, Castle Rock, CO)
  • You agree to individual dispute resolution (class action waiver)
  • Small claims court is available for qualifying disputes
  • Each party bears their own attorney fees unless otherwise required by law

Class Action Waiver

  • You agree to resolve disputes individually
  • You waive any right to participate in class actions
  • If class action waiver is unenforceable, this entire arbitration provision is void

Miscellaneous

Entire Agreement

  • These Terms constitute the entire agreement
  • Previous agreements are superseded
  • Invalid provisions do not affect remaining terms

Severability

  • If any provision is invalid, the remainder remains effective
  • Invalid provisions will be modified to be enforceable

Waiver

  • Failure to enforce any provision is not a waiver
  • Waivers must be in writing to be effective

Assignment

  • You may not assign your account without our consent
  • We may assign our rights and obligations

Notices

  • Notices will be sent via email or posted on the Service
  • You are responsible for keeping contact information current
